El REPSE (Registro de Prestadoras de Servicios Especializados u Obras Especializadas) es una plataforma obligatoria implementada por la Secretaría del Trabajo y Previsión Social (STPS) en México, como parte de la reforma laboral de 2021. Su objetivo es regular la subcontratación y garantizar que las empresas que ofrecen servicios especializados cumplan con sus obligaciones fiscales y laborales.

¿Quiénes deben registrarse en el REPSE?

Deben registrarse en el REPSE todas las personas físicas o morales que proporcionen servicios especializados o ejecuten obras especializadas a otras empresas, siempre que estos servicios no formen parte del objeto social ni de la actividad económica preponderante de la empresa contratante.

Requisitos para el registro REPSE

Para obtener el registro en el REPSE, es necesario:

  • Estar dado de alta en el SAT con una actividad económica relacionada al servicio que se ofrece.

  • Contar con opiniones de cumplimiento positivas del SAT, IMSS e INFONAVIT.

  • Demostrar que se cuenta con personal propio y que no se trata de subcontratación de personal.

Consecuencias de no registrarse en el REPSE

No contar con el registro en el REPSE puede derivar en multas de hasta 4.5 millones de pesos, además de consecuencias fiscales y laborales. Asimismo, las empresas que contraten a proveedores no registrados también pueden ser sancionadas.

¿Mi servicio califica como especializado o estoy cayendo en una subcontratación prohibida?

La Reforma a la Ley Federal del Trabajo (LFT) publicada el 23 de abril de 2021 prohíbe la subcontratación de personal, pero permite la contratación de servicios u obras especializadas, siempre que se cumpla con ciertas condiciones estrictas. Esto ha generado dudas en muchas empresas: ¿mi actividad es legal o estoy cayendo en una subcontratación indebida?

Los artículos 12, 13 y 15 de la LFT reformados establecen lo siguiente:

  • Artículo 12:
    Se prohíbe la subcontratación de personal, es decir, cuando una persona física o moral proporciona o pone a disposición trabajadores propios en beneficio de otra.

  • Artículo 13:
    Se permite la prestación de servicios especializados o la ejecución de obras especializadas, siempre que no formen parte del objeto social ni de la actividad económica preponderante de quien los recibe.
    Además, el prestador del servicio debe estar inscrito en el REPSE.

  • Artículo 15:
    El contrato de servicios especializados debe ser por escrito, y contener la información del registro REPSE, el número de trabajadores que participan y los detalles del servicio u obra.

✅ ¿Cómo saber si tu servicio califica como especializado?

Para que tu servicio sea legalmente considerado especializado, debe cumplir TODOS los siguientes criterios:

✔️ 1. No forma parte del objeto social del contratante

  • Revisa el acta constitutiva y objeto social del cliente.

  • Ejemplo: si una empresa se dedica a fabricar muebles, no puede contratar a otra para que fabrique por ella (esto sería subcontratación).
    Pero sí puede contratar servicios de limpieza, vigilancia, contabilidad, etc.

✔️ 2. No es su actividad económica preponderante

  • Verifica la actividad económica registrada ante el SAT del contratante.

  • Ejemplo: si su actividad principal es la construcción, no puede subcontratar a otra empresa para ejecutar obras similares, a menos que sean altamente especializadas y distintas (como instalaciones de fibra óptica, que podrían no formar parte del objeto general).

✔️ 3. Tú, como proveedor, debes contar con personal propio y dirección técnica

  • No puedes contratar personal ajeno solo para cumplir un servicio.

  • Tu empresa debe asumir los riesgos laborales, administrativos y fiscales del servicio.
